These Terms & Conditions (“Terms”) govern your use of the services provided by A Design Studio (“the Studio”). By engaging with the Studio or using its services, you agree to be bound by these Terms. Please read them carefully before proceeding.
Scope of Services
The Studio offers design services including but not limited to graphic design, web design, branding, and illustration.
The specifics of the services to be provided, including deliverables, timelines, and fees, will be outlined in a separate agreement between the client and the Studio.
Fees and Payments
The client agrees to pay the Studio the fees outlined in the project agreement, which may include upfront deposits, milestone payments, or a lump sum fee.
Payments are due according to the schedule outlined in the project agreement. Late payments may incur additional fees or delay the project timeline.
All fees quoted by the Studio are exclusive of applicable taxes, which will be added to the final invoice as required by law.
Intellectual Property
The client retains ownership of any materials provided to the Studio for use in the project.
Upon full payment of the agreed fees, the client will receive ownership of the final deliverables created by the Studio, subject to any third-party licenses or restrictions.
The Studio retains the right to use project materials, including final deliverables, for promotional purposes unless otherwise agreed upon in writing by the client.
Revisions and Modifications
The client is entitled to a reasonable number of revisions and modifications to project deliverables as outlined in the project agreement.
Additional revisions or modifications requested by the client beyond the agreed scope may incur additional fees, which will be communicated to the client in advance.
Confidentiality
The Studio agrees to maintain the confidentiality of all client information and materials provided for the duration of the project and thereafter.
The client agrees to maintain the confidentiality of any proprietary information or trade secrets shared by the Studio.
Termination
Either party may terminate the project agreement in writing if the other party materially breaches its obligations under these Terms and fails to remedy the breach within a reasonable period.
In the event of termination, the client agrees to pay the Studio for any work completed up to the date of termination, as well as any expenses incurred on behalf of the client.
Limitation of Liability
The Studio will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services provided, including but not limited to lost profits or business interruption.
The Studio’s liability for any direct damages arising from its services shall be limited to the total fees paid by the client under the project agreement.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].
Amendments
The Studio reserves the right to amend these Terms at any time by posting the amended Terms on its website or providing notice to the client.
The client’s continued engagement with the Studio or use of its services after the effective date of any amendments constitutes acceptance of the amended Terms.
